1. Agreement
These Terms of Service ("Terms") form a legally binding agreement between you ("Client", "you") and Quantistic Systems ("we", "us", "our"), a service provider based in the United Kingdom. By using our services you agree to be bound by these Terms. If you do not agree, do not use the service.
2. The service
Quantistic Systems provides an automated enquiry-handling, lead-qualification, and appointment-booking platform for UK estate agencies. The service includes message automation (email, SMS, WhatsApp), a CRM dashboard, and integrations with third-party tools including n8n, Twilio, and email providers.
We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice.
3. Your account
- You are responsible for keeping your account credentials, API keys, and n8n webhook URLs confidential.
- You must provide accurate company information during onboarding and keep it up to date.
- You are responsible for all activity that occurs under your account.
4. Acceptable use
You agree not to use the service to:
- Send unsolicited marketing messages in breach of PECR (Privacy and Electronic Communications Regulations) or UK GDPR.
- Contact individuals who have opted out or replied with STOP / UNSUBSCRIBE.
- Impersonate another person, agency, or brand.
- Reverse-engineer, resell, or sublicense the platform without written permission.
- Store or transmit data you do not have a lawful basis to process.
5. Fees and payment
Fees are agreed in your onboarding agreement or order form. Unless stated otherwise, fees are billed monthly in advance and are non-refundable for the billing period in progress. SMS and WhatsApp message fees charged by Twilio or equivalent providers are passed through at cost and are your responsibility.
6. Client data
You retain all rights to the lead, applicant, appointment, and message data you upload or generate through the service. We process that data only to provide the service and in accordance with our Privacy Policy. For any personal data processed on your behalf, you are the Data Controller and we act as your Data Processor under UK GDPR.
7. Third-party services
The platform integrates with third parties including Twilio (SMS/WhatsApp), n8n (workflow automation), Google/Microsoft (email), and Render (hosting). Your use of those services is also governed by their own terms. We are not liable for outages, data loss, or billing issues caused by third parties.
8. Intellectual property
All software, workflow templates, documentation, and branding provided by Quantistic Systems remain our intellectual property. You are granted a non-exclusive, non-transferable licence to use them for the duration of your subscription.
9. Warranty and liability
The service is provided "as is". We make no warranty that it will be uninterrupted, error-free, or meet any specific commercial outcome (number of bookings, conversion rate, revenue). To the maximum extent permitted by law, our total liability for any claim arising out of these Terms is limited to the fees you paid in the three months preceding the claim.
Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be limited under UK law.
10. Termination
Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your access immediately if you materially breach these Terms or fail to pay fees when due. On termination you can export your data for a period of 30 days, after which it will be deleted in accordance with our Privacy Policy.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to you by email at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of England and Wales. Any dispute arising shall be subject to the exclusive jurisdiction of the English courts.
